David M. Warburg, a partner in the Corporate Department in the New York Office of Seyfarth Shaw LLP, concentrates his practice on corporate finance, securities, and real estate equity fund financing transactions, with emphasis on real estate focused and other private equity funds. He has over 25 years of experience representing both sponsors of and institutional investors in U.S. domestic and offshore funds. His practice is somewhat unusual in representing on a regular basis both US and non-US sponsors of private funds as well as US corporate pension plan, US multi-employer plans, and other US, European and Asian institutional investors in such funds, which facilitates a continuously updated knowledge base of current issues, and a nuanced balanced approach to resolving the structural, legal, tax and documentation issues that are faced by todays fund sponsors. He benefits as well from the broad expertise and experience that resides within the firms substantial ERISA, REIT and tax practices, all of which are heavily engaged on fund-related matters, as well as from his own experience as a securities attorney, and substantial cross-border transactional experience.
He has represented US and non-US sponsors and institutional investors in real estate and private equity funds domiciled in the US, BVI, Cayman Islands, the Channel
Islands, Hong Kong, Ireland, Israel, Luxembourg, the Netherlands, Mauritius and other jurisdictions.
